Article 1: PARTIES TO THE AGREEMENT AND DEFINITIONS

1.2. Service Recipient (Buyer/User):

A natural or legal person who becomes a member of the matematik.ai platform and/or purchases digital services offered through the platform for a fee. (Hereinafter referred to as "USER" or "BUYER" in this agreement.)

1.3. Definitions:

Platform: Refers to the website with the domain name www.matematik.ai, along with all its subdomains, mobile websites, and mobile applications managed by the Company.
Service/Services: Refers to all types of digital educational content (video lessons, lecture notes, PDF documents, tests, practice exams), subscription packages, live lesson participation rights, and all other electronic services offered through the Platform, owned by the Company, and granting the User access rights for a specific period or indefinitely.
Agreement: Refers to this "Digital Service Usage, Distance Sales, Delivery and Return Agreement."
Law: Refers to Law No. 6502 on Consumer Protection.
Regulation: Refers to the Distance Contracts Regulation published in the Official Gazette dated November 27, 2014, and numbered 29188.

Article 2: SUBJECT AND SCOPE OF THE AGREEMENT

This Agreement regulates in detail the mutual rights and obligations of the parties in accordance with the provisions of the Law and Regulation regarding the purchase of Services offered for sale by the Company through the Platform in electronic environment, the delivery (performance) of these Services to the User, and the terms of use. By purchasing a Service through the Platform, the User irrevocably declares, accepts, and undertakes that they have read, understood, and are bound by all the terms and conditions of the Preliminary Information Form, User Agreement, and Privacy Policy, which are integral parts of this Agreement.

Article 3: NATURE OF SERVICES AND DELIVERY (PERFORMANCE) PROCEDURE

3.1. Intangible Nature of Services:

The User accepts in advance that all Services subject to this Agreement are of an "intangible goods" nature within the scope of the Regulation, having no physical existence, existing and accessed only in digital environment. Accordingly, processes such as shipping and physical delivery are not applicable.

3.2. Time of Delivery (Immediate Performance):

a) Upon full and complete payment of the price of the Service selected by the User through one of the payment methods offered on the Platform, and confirmation of this payment by the Company's or contracted payment institution's systems, access rights to the purchased Service are automatically and immediately assigned to the User's personal account on the Platform.

b) This automatic assignment process means that the Service has been delivered to the User completely and fully, and that the contractual performance has been realized "immediately" by the Company.

c) The User declares that they know and accept this "immediate performance" situation and its legal consequences.

3.3. Confirmation of Delivery and Information Obligation:

a) Following the realization of performance, a confirmation email containing the details of the purchase transaction, the amount paid, the content of the Service, and a copy of this Agreement and the Preliminary Information Form is automatically sent to the email address registered by the User in the system.

b) The User is solely responsible for the accuracy, currency, and accessibility of the email address and other contact information provided during membership and/or purchase. The Company cannot be held responsible in any way for the failure of the information to reach the User due to reasons beyond the Company's control, such as incorrect or incomplete information provided, or the email being blocked by the User's own email provider (including falling into spam/junk folder).

3.4. User's Technical Responsibility:

It is entirely the User's own responsibility to provide the internet connection, an up-to-date web browser, a computer/tablet/smartphone with sufficient hardware, and similar technical infrastructure and requirements necessary to fully and uninterruptedly benefit from the Services. The Company is not responsible for access problems or performance degradation arising from the User's insufficient or incompatible technical infrastructure, internet interruptions, or device failures.

Article 4: RIGHT OF WITHDRAWAL AND LEGAL EXCEPTION

4.1. Legal Basis:

This article is based on Article 15 of the Distance Contracts Regulation titled "Exceptions to the Right of Withdrawal."

4.2. Regulation Provision:

In paragraph (ğ) of Paragraph 1 of Article 15 of the relevant Regulation, it is clearly stipulated that the consumer cannot exercise the right of withdrawal for "contracts regarding services performed immediately in electronic environment or intangible goods delivered immediately to the consumer."

4.3. Application to the Agreement and Consequences:

a) As explained in detail in Article 3.2, all Services offered by matematik.ai fall into the category of "immediately performed service" and "immediately delivered intangible goods" by being immediately opened to the User's access upon payment confirmation.

b) Due to this legal nature, the User does not have the 14-day right of withdrawal defined in the Law and Regulation regarding the Services purchased.

c) The User declares and undertakes that at the moment of completing the purchase transaction through the Platform, they know that there is no right of withdrawal due to the nature of the Service, that they have been clearly informed about this by the Company through the Preliminary Information Form and this Agreement, and that they have expressed their intention to purchase by accepting this condition. This article constitutes definitive evidence between the parties.

Article 5: COMPANY'S DISCRETIONARY RETURN, CANCELLATION AND EXCHANGE POLICY

Despite the legal absence of the right of withdrawal, the Company may evaluate return, cancellation or exchange requests within the framework of the following conditions, entirely at its own discretion and considering customer satisfaction. This policy does not impose any legal obligation on the Company, and the Company reserves the right to change or remove this policy at any time.

5.1. Defective Service Situation and Burden of Proof:

a) Definition: "Defective Service" is the situation where none of the promised basic functions of the Service can be used by the User due to a provable technical error originating from the Company's own server, database or software infrastructure in the content of a purchased Service. Example: None of the videos in a video lesson package play and this problem is confirmed by the Company as a general issue.

b) Burden of Proof: The User claiming a defect is obliged to report this claim in writing to support@zontroy.com within a maximum of 3 (three) calendar days from the purchase date, supporting it with screenshots containing date and time information showing that the problem occurred, video recordings, error codes and detailed explanations. Applications made without sufficient evidence and within the deadline will not be considered.

c) Evaluation and Resolution Process: The Company examines the application and the evidence provided together with its technical team. If it is determined that the claim arises from a Company-sourced problem, the Company first makes reasonable efforts to remedy this defect. If the defect cannot be remedied within 15 (fifteen) business days, at the Company's sole discretion; (i) refund of all or part of the paid fee, (ii) replacement of the Service with the same or equivalent Service, or (iii) definition of a coupon to be used in future purchases, one of the options will be applied.

5.2. Cancellation of Recurring Subscriptions:

a) Subscription packages that renew at certain periods such as monthly, 3-monthly, yearly should be canceled by the User at least 48 hours before the next billing (renewal) date through the "My Account > My Subscriptions" or similar menu on the Platform.

b) The cancellation process only has a forward-looking effect and prevents fee collection for the next period. The cancellation process does not create any refund right regarding the current subscription period that has been paid for. The User continues to access the Service until the end of the current subscription period.

5.3. One-Time Purchased Services:

For Services such as a specific video series, e-book, question bank that provide "lifetime" or certain long-term access rights with a one-time payment, no return, cancellation or exchange is made under any circumstances except for the "Defective Service" situation defined in Article 5.1.

Article 6: FORCE MAJEURE

In the event of legally considered force majeure situations that develop beyond the control of the parties and are unforeseeable; cyber attacks, general failures occurring in server and infrastructure providers, natural disasters (earthquake, flood, etc.), war, terrorist acts, mobilization, epidemics, collapse of nationwide internet infrastructure, government decisions, strikes and lockouts, the Company cannot be held responsible for performing its obligations under this Agreement late, incompletely, or not at all. During these periods, the Company's obligations are suspended and these situations cannot be considered as default.

Article 7: PRIVACY AND PROTECTION OF PERSONAL DATA

Personal data shared by the User during the use of the Platform is processed, stored and protected in accordance with Law No. 6698 on the Protection of Personal Data (KVKK) and within the framework of the Disclosure Text and Privacy Policy published on the Platform. By purchasing the Service, the User is deemed to have accepted these policies.

Article 8: INTELLECTUAL PROPERTY RIGHTS

All intellectual and industrial property rights of all Services (videos, texts, images, trademarks, logos, etc.) on the Platform belong exclusively to the Company. The right granted to the User is only a limited license consisting of the right to access and view the Service for personal and non-commercial purposes for the specified period. The User cannot copy, reproduce, download, sell, rent, distribute or make available to third parties these contents. Contrary actions create legal and criminal liability in accordance with the Law on Intellectual and Artistic Works and other relevant legislation.

Article 9: RESOLUTION OF DISPUTES AND COMPETENT COURT

Turkish Law will be applied in resolving all kinds of disputes that may arise from the interpretation or application of this Agreement. The parties agree to seek a solution primarily through reconciliation and negotiation. In case of continuation of the dispute, they accept and declare that Ankara Courts and Execution Offices are exclusively competent in resolving the dispute.

Article 10: INTEGRITY AND VALIDITY OF THE AGREEMENT

This Agreement consisting of 10 articles is deemed to have been electronically approved and entered into force at the moment the User completes the Service purchase transaction through the Platform. The User irrevocably declares, accepts and undertakes that they have read all articles of this Agreement before completing their order, understood them, fully accepted its content, and will be bound by this agreement.
